1.1. These Terms of Use ("Terms"),together with our Privacy Policy, govern your access to and use of the "Heroz" platform. It is important to read and fully understand them before using our services. 1.2. By accessing the "Heroz" platform and/or registering an account and/or continuing to use our services, you confirm that you have read these terms and agree to be bound by them. If you do not agree, please do not use the platform. 1.3. These terms constitute legally binding electronic contract between the Service Provider and the "Heroz" Limited Company, and all their legal effects will be binding upon you from the date of registering an account and using the platform. You will be bound by these terms as if you had signed a written contract.
2.1."Platform": Refers to the "Heroz" website and mobile applications, including all related pages, links, tools, and features.
2.2."We","Us", or "Our": Refers to "Heroz" Limited Company, registered under the laws of Saudi Arabia, with Commercial Registration No: [4030580386].
2.3."Service Provider": Refers to an entity, club, or center that registers on the platform to provide services and/or products to users. 2.4."Users":Refers to clients, parents, schools, or others who request services and/or products from the service provider via the platform. 2.5."Services":Refers to sports, educational, recreational, or other activities for children or adults, offered by the service provider, whether they include products or not.
2.6."Dashboard":A dedicated link for the service provider with a unique username and password to display and update services, prices, and manage bookings.
2.7."Booking": Refers to a request made by parents or schools to the service provider through the platform.
2.8."Credits": Points from subscription packages or purchased separately, used with service providers to access activities.
2.9."Intellectual Property": Refers to all rights related to the "Heroz" platform, including software, copyrights, trademarks, patents, designs, graphics, and other related rights, whether registered or not.
2.10."Content": Refers to the information, data, text, images, videos, audio, graphics, and interactive features provided or made available to users on the platform.
2.11."ForceMajeure": Refers to factors beyond reasonable control that prevent or delay the fulfillment of any obligations under these terms. 2.12."Terms& Conditions": Refers to the Terms of Use, Privacy Policy, and platform operating rules.
2.13."Laws":Refers to the regulations and decrees applicable in Saudi Arabia.
3.1.The "Heroz" platform provides services through a website and mobileapplications for iOS, Android, or other systems, acting as an onlineintermediary between service providers offering various activities and users(parents and schools) seeking to book these services. The platform’s role islimited to mediation between service providers and users.
3.2. The platformoffers service providers the following:
Account registration and access to all platform features.
A secure technical infrastructure and support center for users.
A dashboard for adding services, updating prices, managing bookings, and tracking financial transactions.
Display of services and/or products on the platform.
Multiple payment options through contracts with payment service providers.
3.3. Some services may require additional contracts or agreements, which will complement these terms.
3.4. The platform operates in compliance with Saudi regulations.
3.5. We reserve the right to modify, update, or change services, content, design, or functionality at any time.
3.6. By registering and using the platform, the service provider agrees to these terms, which become binding upon account registration.
4.1. To use the platform, service providers must:
Register with accurate and updated information.
Maintain the confidentiality of account login details and bear responsibility for any usage.
Notify us immediately of any unauthorized use of their account.
Use the account in compliance with Saudi laws.
4.2.Service providers may grant access to their staff to manage the account.
4.3.The service provider may update account details through their dashboard.
4.4.The platform reserves the right to verify registration information.
4.5. We may suspend or terminate accounts for violating these terms.
5.1. By using the platform, the service provider acknowledges agreeing to these terms electronically.
5.2. The service provideragrees to use the platform only for lawful purposes.
5.3. The service provider is responsible for reviewing platform information before use.
6.1. Service providers must register correctly and submit official documentation.
6.2. They are responsible for listing accurate details and prices for their services.
6.3. Service providers must scan the QR code for user check-ins.
6.4. Payment and point deductions will be managed through the platform.
7.1. The platform is provided "as is" without warranties.
7.2. Service providers use the platform at their own risk.
7.3. "Heroz" is not liable for any loss or damage arising from service provider activities.
7.4. We aim to keep the platform available but are not liable for disruptions due to updates or maintenance.
8.1. Service providers are granted a non-exclusive, revocable license to use the platform for managing bookings and services.
9.1. The platform may not be used for unlawful purposes, including hacking, sending spam, or violating intellectual property rights.
10.1. All rights related to the "Heroz"platform, including trademarks and software, are protected.
11.1. The service provider agrees to indemnify "Heroz" against any claims arising from misuse.
We may send notifications and updates to the registered email for various purposes.
Service providers agree to our data collection practices as outlined in the Privacy Policy.
14.1. We may update these terms at any time. Continued use constitutes acceptance.
15.1. These terms are effective from account registration and remain in force until terminated.
16.1. These terms are governed by Saudi law.Disputes will be resolved in Jeddah courts.
17.1.If any term is deemed invalid, the remaining terms will continue to apply.
